Monierate Terms of Use Agreement

These Terms of Use (“Terms” or “Agreement”) govern your access to and use of the Monierate website (https://monierate.com), our Application Programming Interface (the “API”) (https://api.monierate.com), and any associated tools, domains, subdomains, documentation, software, and data provided by Monierate (“we,” “us,” or “our”) (together, the “Services”). By accessing or using the Services, you (“User,” “Developer,” “Business,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. About Monierate

Monierate aggregates and publishes exchange rate information from multiple market providers, including official, mid-market, and parallel market sources. We also provide tools such as a currency converter and the Monierate API. The Services are provided for informational purposes only.

2. No Financial Advice

The exchange rates and other information provided through the Services are for general informational purposes only and do not constitute financial, investment, trading, or other professional advice. Rates are aggregated from third-party sources and may not reflect the exact rate available to you at the time of a transaction. You are solely responsible for verifying any rate before acting on it, and for any decisions you make based on the information provided.

3. Accuracy of Information

While we take reasonable steps to keep the information on Monierate accurate and up to date, we do not warrant that it is complete, reliable, current, or error-free. Exchange rates change frequently and may be delayed. We are not responsible for any loss arising from your reliance on information obtained through the Services.

4. Acceptable Use

You agree that you will not:

  • Use the Services in any way that is unlawful, harmful, or violates any applicable law, regulation, or the rights of others;
  • Scrape, harvest, or extract data from the Services except as expressly permitted through our API and its plan limits;
  • Attempt to gain unauthorized access to the Services, related systems, or networks, or transmit any viruses or harmful code;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Misrepresent your affiliation with Monierate, or use our name, logo, or trademarks without permission.

5. Third-Party Names and Trademarks

References made to third-party names, logos, and trademarks on the Services are used to identify the corresponding goods and services that Monierate visitors can themselves exchange currencies with. Unless otherwise specified, the trademark holders are not affiliated with Monierate, our products, or website, and they do not sponsor or endorse Monierate services. Such references are included strictly as nominative fair use under applicable trademark law and remain fully the property of their respective trademark holders.

6. API License Grant

Subject to your compliance with this Agreement, Monierate grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Monierate API (https://api.monierate.com) solely for your internal business purposes to:

  • Access and display Monierate’s data (such as exchange rates or other financial information provided) through your application or service.
  • Integrate the Monierate API with your application or service in accordance with our documentation.

7. API Use Restrictions

In addition to the Acceptable Use terms above, when using the API you agree that you will not:

  • Misuse the API: Use the API in any way that is unlawful, harmful, or violates the rights of others. This includes, but is not limited to, transmitting any viruses or harmful code, attempting to gain unauthorized access to our systems, or interfering with the API’s operation.
  • Exceed Usage Limits: Attempt to exceed or circumvent any usage limits or throttling that Monierate may implement for the API.
  • Resell or Sublicense: Resell, sublicense, lease, or otherwise make the API available to any third party, except as expressly permitted for integrated applications.
  • Reverse Engineer or Copy: Copy, modify, distribute, reverse engineer, decompile, disassemble, or attempt to derive the source code of the API or any part of it.
  • Create Derivative Works: Create derivative works based on the API or its content, unless expressly permitted by Monierate.
  • Remove Notices: Remove, obscure, or alter any proprietary notices (including copyright and trademark notices) that may be affixed to or contained within the API or its outputs.
  • Compete with Monierate: Use the API or its data to create a product or service that directly competes with Monierate’s core offerings.

8. API Keys and Security

  • You will be provided with unique API keys to access the Monierate API.
  • You are responsible for maintaining the confidentiality and security of your API keys.
  • You are fully responsible for all activities that occur under your API keys.
  • You agree to notify Monierate immediately of any unauthorized use of your API keys or any other breach of security.

9. Intellectual Property Ownership

  • Monierate’s Property: You acknowledge and agree that Monierate owns all right, title, and interest in and to the Services, including the Monierate API and all underlying software, technology, data, documentation, trade secrets, know-how, and any associated intellectual property rights (including copyrights, patents, trademarks, and trade secrets). This Agreement does not grant you any ownership rights in the Services or their content. Except for content you are expressly permitted to access through the API or the website, you may not copy, modify, distribute, or create derivative works from the Services without our prior written consent.
  • Your Content: You retain ownership of your application or service and any content you create, provided it does not infringe on Monierate’s intellectual property rights.
  • Feedback: If you provide Monierate with any suggestions, comments, or other feedback relating to the Services (“Feedback”), Monierate may use such Feedback for any purpose without obligation or compensation to you.

10. Data and Privacy

  • Your Data: If you transmit data to the Services or the API, you are responsible for ensuring you have the necessary rights and consents for such transmission.
  • Monierate’s Data Usage: Monierate may collect and use data related to your use of the Services for purposes such as monitoring usage, improving the Services, and ensuring compliance with this Agreement. Our data practices are further described in our Privacy Policy.

11. Term and Termination

  • Term: This Agreement will remain in effect until terminated by either party.
  • Termination by You: You may terminate this Agreement at any time by discontinuing your use of the Services and, where applicable, deleting your API keys.
  • Termination by Monierate: Monierate may suspend or terminate your access to the Services and this Agreement at any time, with or without cause, and with or without notice (though we will endeavor to provide reasonable notice where practicable). Reasons for termination may include, but are not limited to, your breach of this Agreement or discontinuation of the Service.

Effect of Termination: Upon termination, all licenses granted to you will immediately cease, and you must promptly cease all use of the Services. You will be required to delete any cached or stored Monierate data you possess if you breach any section of this user agreement. Sections 9 (Intellectual Property Ownership), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), and 15 (General) will survive termination.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MONIERATE DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. MONIERATE DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MONIERATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, EVEN IF MONIERATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to indemnify, defend, and hold harmless Monierate and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of the Services in violation of this Agreement.
  • Your application or service that integrates with the Monierate API.
  • Your breach of any representation or warranty made under this Agreement.
  • Your violation of any applicable law or regulation or the rights of any third party.

15. General

  • Modification: Monierate reserves the right to modify this Agreement at any time. We will provide notice of significant changes (e.g., by posting on our website or sending an email). Your continued use of the Services after such modifications constitutes your acceptance of the revised Agreement.
  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
  • Entire Agreement: This Agreement constitutes the entire agreement between you and Monierate regarding the Services and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
  • Severability: If any provision of this Agreement is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.
  • Waiver: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Monierate’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
